The following terms and conditions govern all use of the AGENTS.inc platform provided through www.agents.inc, the AGENTS HQ® application, our apps, APIs, and all content, services, AI Agents, and products available at or through the website (taken together, the “Service”). The Service is owned and operated by AGENTS HQ GmbH registered in Berlin, Germany. The Service is offered subject to your acceptance without modification of all of the terms and conditions contained herein, our Privacy Policy, and all other operating rules, policies, and procedures that may be published from time to time on this site by AGENTS HQ GmbH (collectively, the “Agreement”).
Please read this Agreement carefully before accessing or using our services. By accessing or using the Service, you agree to become bound by the terms and conditions of this agreement. If you do not agree to all the terms and conditions of this agreement, then you may not access or use the Service.
1. Enterprise B2B Applicability
In short: Our platform is built for businesses and enterprise professionals. You must be an adult to use it.
AGENTS.inc provides an enterprise AI orchestration layer. The Service is offered to commercial, corporate, and public sector entities (B2B). By using the Service, you warrant that you are at least 18 years of age and that you have the legal authority to bind the company or organization you represent to these Terms.
2. Your AGENTS.inc Account and Workspaces
In short: When you create an enterprise workspace, you’re responsible for the activity that happens within it. Keep your credentials safe and let us know if someone breaches your account.
The Service provides you the opportunity to create secure, tenant-isolated online Workspaces for you and your team to orchestrate AI Agents. If you create a Workspace, you are responsible for maintaining the security of your account and Workspace, and you are fully responsible for all activities that occur under the account and any other actions taken in connection with your Workspace. You must immediately notify AGENTS HQ GmbH of any unauthorized uses of your Workspaces, your account, or any other breaches of security. AGENTS HQ GmbH will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions.
3. Customer Data, Inputs, and AI Outputs
In short: You own the data you feed into our agents, and you own the work the agents produce for you. We don't use your private enterprise data to train public AI models. However, don't use our agents for illegal activities, spam, or creating harmful content.
Ownership: The Customer retains all rights, title, and interest in and to any data, brand guidelines, and prompts uploaded to the Service ("Inputs"). Subject to full payment of applicable fees, AGENTS.inc assigns to the Customer all rights and ownership in the final content generated by the AI Agents ("Outputs").
Data Privacy & Trust Layer: AGENTS HQ GmbH respects your enterprise data sovereignty. Customer Data processed within your isolated Workspace is not used to train our foundation models or third-party foundational models across other tenants, ensuring your proprietary information remains confidential.
License to Process: By submitting Customer Data, you grant AGENTS HQ GmbH a worldwide, royalty-free, and non-exclusive license to ingest, host, and process the Content solely for the purpose of operating the Service, routing it through our Trust Layer, and generating your desired Outputs.
Acceptable Use: You represent and warrant that your Inputs and your intended use of the Outputs will not:
- Infringe the proprietary rights, including copyright, patent, trademark, or trade secret rights, of any third party;
- Contain or install any viruses, worms, malware, Trojan horses, or other harmful or destructive code;
- Be used to generate spam, conduct illegal phishing, or further unlawful acts;
- Violate the privacy or publicity rights of any third party, including violations of the GDPR.
4. Data Privacy and International Transfers
In short: We are fully GDPR compliant. If data crosses borders, it is protected by the latest EU-approved legal frameworks.
Both parties agree to comply with the European General Data Protection Regulation (GDPR). We will execute a separate Data Processing Agreement (DPA) outlining the exact scope of processing. AGENTS.inc prioritizes sovereign European hosting. Any transfers to US-based sub-processors are legally safeguarded by the EU-U.S. Data Privacy Framework (DPF) or the European Commission’s Standard Contractual Clauses (SCCs) supplemented by technical safeguards.
5. Responsibilities Regarding AI-Generated Content
In short: Our architecture minimizes hallucinations, but AI isn't human. You must review final outputs before publishing them.
AGENTS.inc provides a proprietary Trust Layer designed to ground AI outputs in verified Customer Data and drastically reduce hallucinations. However, Artificial Intelligence remains a probabilistic technology. The Customer acknowledges that Outputs may occasionally contain factual inaccuracies or formatting errors. The Customer bears the sole responsibility for reviewing, fact-checking, and approving all Outputs prior to publishing them or utilizing them in public-facing business operations. AGENTS.inc assumes no liability for damages resulting from the deployment of unverified AI Outputs.
6. Commercial Terms: Fees, Tokens, and Renewal
In short: You pay a base fee for the platform and consume Agent Tokens (Δ) for the tasks executed.
The Service operates on a Software-as-a-Service (SaaS) and consumption-based model. You agree to pay the applicable base platform licensing fees, as well as consumption fees based on Agent Tokens (Δ) utilized by your workflows. Unless otherwise agreed in an Order Form, subscriptions will automatically renew for successive periods equal to the initial term unless notice of non-renewal is provided at least thirty (30) days prior to the end of the current term.
7. Marketing and Publicity
In short: We love sharing the great work we do together. We may use your logo on our website, but you can always ask us not to.
We are proud to support leading global enterprises. By using the Service, you grant AGENTS HQ GmbH the non-exclusive right to use your company’s name, logo, and a general description of the use case as a reference for marketing and promotional purposes on our website, in pitch decks, and in other public communications. This usage will strictly adhere to your standard trademark guidelines. If you do not wish to be used as a reference, you may opt out at any time by providing written notice to us at [email protected].
8. Confidentiality
In short: We keep your secrets, and you keep ours.
During your use of the Service, either party may share confidential, proprietary, or non-public information (“Confidential Information”). Both parties agree to hold each other’s Confidential Information in strict confidence and not to disclose it to any third party except as necessary to provide the Service, as required by law, or with prior written consent. This obligation survives the termination of this Agreement.
9. Intellectual Property of the AGENTS.inc Platform
In short: You own your outputs, but we own the AGENTS HQ platform, the code, and the underlying logic of the AI agents.
AGENTS.inc retains all right, title, and interest in and to the Service, including the AGENTS HQ® platform, the bow tie logo, the Coordination Hub, the Trust Layer, the Agent Core, custom UIs, APIs, and all underlying software, methodologies, and orchestration logic. No rights are granted to the Customer to reverse-engineer, copy, or redistribute the core software of the Service.
10. Term, Termination, and Suspension
In short: We can suspend your account if you breach the rules or don't pay. You can stop using the service at any time.
Termination: You may terminate this Agreement by discontinuing your use of the Service and notifying us of your intent to cancel your subscription.
Suspension: AGENTS HQ GmbH may suspend or terminate your access to all or any part of the Service at any time if you materially breach this Agreement (including non-payment of fees) or if your use of the Service poses a security risk to the platform.
Survival: All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, confidentiality obligations, warranty disclaimers, indemnity, and limitations of liability.
11. Warranties and Limitation of Liability
In short: We work hard to keep the platform running perfectly, but we provide the service "as is". If something goes wrong, our liability is limited to the fees you paid us in the last 12 months (except where German law prohibits limiting liability, like for gross negligence).
Except for specific Service Level Agreements (SLAs) provided in a separate enterprise contract, the Service is provided "as is". To the maximum extent permitted by applicable law, AGENTS.inc shall not be liable for any indirect, incidental, special, or consequential damages, or loss of profits. In no event shall the aggregate liability of AGENTS.inc exceed the total amount paid by the Customer during the twelve (12) months immediately preceding the event giving rise to the claim.
Mandatory German Law Exception: The aforementioned limitations of liability shall not apply to damages caused by intent (Vorsatz) or gross negligence (grobe Fahrlässigkeit) by AGENTS.inc, or in cases of injury to life, body, or health.
12. Governing Law and Jurisdiction
In short: If we ever have a legal dispute, it will be handled in the courts of Berlin, under German law.
This Agreement shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes arising from or in connection with this Agreement shall be the competent courts of Berlin, Germany.
13. Miscellaneous
In short: We can update these terms if needed. If we are acquired or merge with another company, this agreement transfers to the new owners.
Assignment: You may not assign or transfer this Agreement, by operation of law or otherwise, without the prior written consent of AGENTS HQ GmbH. AGENTS HQ GmbH may freely assign or transfer this Agreement without restriction and without your consent, including in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
Changes to Terms: We reserve the right to modify these Terms at any time. If we make material changes, we will notify you via the AGENTS HQ platform or by email. Continued use of the Service after any such changes constitutes your acceptance of the new Terms.
Severability: If any provision of this Agreement is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.
